Solved:
the SQL file pooched on the upload. for some reason it was too big for the FTP upload. and only partly uploaded without error.
i noticed this, and renamed the sql extension to zip then uploaded it as that. once it uploaded i renamed the file back to SQL and re ran the install.. im all peachy now.
